Terms of Service

1. Who we are

CapFlow (the "Service") is operated by My Advisor Jimmie Howard, LLC("CapFlow", "we", "us"). By creating an account or using the Service you enter into a binding agreement with My Advisor Jimmie Howard, LLC.

2. Acceptance of these terms

By signing up for, accessing, or continuing to use CapFlow you agree to these Terms of Service and to our Privacy Notice. If you do not agree, do not use the Service.

If you use CapFlow on behalf of a company or other organization, you represent that you have authority to bind that organization to these terms. Individual users represent that they are at least the age of majority in their jurisdiction.

3. The Service

CapFlow provides invoicing, cash-flow forecasting, expense tracking, cap-table visualization, scenario modeling, and investor-reporting tools designed for venture-backed micro-enterprises. Features available to you depend on the plan you are subscribed to.

4. Your account

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us immediately at support@capflow.app if you suspect unauthorized access.

5. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service for any unlawful, fraudulent, or misleading purpose;
  • send spam, malware, or content that infringes intellectual property, privacy, or other rights;
  • probe, scan, scrape, or otherwise interfere with the security or integrity of the Service;
  • reverse engineer, decompile, or attempt to derive source code from the Service, except where such restriction is prohibited by law;
  • resell, sublicense, or redistribute the Service, or circumvent any usage limits or access controls;
  • use the Service to store or process regulated data types the Service is not designed for (e.g. PCI cardholder data, PHI subject to HIPAA).

6. Your content

You retain all rights to the data you upload or generate in the Service ("Your Content"). You grant CapFlow a limited, worldwide, non-exclusive license to host, store, transmit, and process Your Content solely to provide, secure, and improve the Service for you.

7. Intellectual property

The Service, including all software, interfaces, documentation, and branding, is owned by My Advisor Jimmie Howard, LLC and its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with your subscription plan and these terms.

8. Payment, billing, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, applicable taxes, subscription renewal, and cancellation mechanics are governed by Paddle's Buyer Terms, which you accept at checkout in addition to these terms.

Subscription plans are billed monthly in advance in U.S. dollars. Paid plans start with a 7-day free trial, which requires a valid payment method. If you do not cancel before the trial ends, your plan begins and your payment method is charged automatically. Fees are non-refundable except as described in our Refund Policy or as required by law.

9. Free trial

Each account is eligible for one 7-day free trial per plan. You may cancel at any time during the trial from the Billing page and you will not be charged. When the trial ends, the plan continues automatically at the price shown at signup unless you cancel first.

10. Warranty disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law, CapFlow disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output (including forecasts, runway calculations, scenarios, or reports) will be accurate — you are responsible for verifying results before relying on them.

CapFlow is a software tool and does not provide legal, tax, accounting, investment, or other professional advice.

11. Limitation of liability

To the fullest extent permitted by law, CapFlow's aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the twelve (12) months before the claim arose. In no event will CapFlow be liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, data, or goodwill. Nothing in these terms excludes liability that cannot be excluded under applicable law (including fraud, or death or personal injury caused by negligence).

12. Indemnity

You will defend, indemnify, and hold harmless CapFlow and its officers, employees, and agents from and against any third-party claims, damages, and costs arising out of (a) Your Content, (b) your use of the Service in breach of these terms, or (c) your violation of law or third-party rights.

13. Suspension and termination

We may suspend or terminate your access to the Service if:

  • you materially breach these terms and do not cure the breach within a reasonable period after notice;
  • your account is past due or your payment method is repeatedly declined;
  • we reasonably believe your use poses a security, fraud, or legal risk to CapFlow or others;
  • you engage in repeated or serious violations of our acceptable-use rules.

You may cancel your subscription at any time from the Billing page or the Paddle customer portal. On termination, your right to use the Service ends immediately. You may export your data during your subscription; after termination we may delete Your Content in accordance with our Privacy Notice.

14. Changes to the Service or these terms

We may modify the Service or these terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.

15. Governing law and disputes

These terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. The state and federal courts located in Georgia have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, and you consent to that jurisdiction and venue.

16. Assignment

You may not assign these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.

17. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, network or utility failures, or governmental action.
